Amba Defence Acquisition

We are pleased to announce that Shires Crichton has acquired both RMS Integrated Systems Limited including CTAC (‘RMS’) and International Monitoring Services Limited (‘IMS’) from the AIM listed, Westminster Group. The companies are suppliers to UK domestic and commercial customers of alarm installation and alarm monitoring services respectively.

The companies were no longer synergistic with the increasing international focus of the Westminster Group and have been acquired by Amba Defence Limited (‘Amba’), a company established by Mr. Crichton.

Commenting on the disposal Peter Fowler, Chief Executive of Westminster Group, said, “The disposal of our two UK focussed subsidiaries as part of this restructuring is a logical step and I am delighted to be able to announce that both businesses have been the subject of an MBO led by a long standing employee of the Group, Shires Crichton. Mr Crichton has already been managing the two businesses and I am confident that he has the drive and vision take the businesses forward to new prosperity. Both businesses will continue to provide a range of services to Westminster on a contract basis and we look forward to working with them as close business partners.”

Shires Crichton said, “Meta Corporate Finance and particularly Mark Ledger-Beadell have supported me in the achievement of my ambitions to build a security business under my direct ownership and have been engaged to identify further targets for Amba. I am looking forward to working with them further using Amba as a platform for further growth.”

Mark Ledger-Beadell said, “I have known Shires for some time as we both have interests in the security and wider soft FM services space. I am sure Amba is the first step to a more substantial transaction, something of which Shires is more than capable.”
